The Des Amis Ventures Group (the "Group") is seeking one or two "qualified and sophisticated investors" that can invest US$25,000 or more in preferred shares in the Des Amis Racing Corporation ("DARC"), a company that owns Moonshine Talk and 3 other racehorse assets (Quiet Dreamer, a two-year old grandson of Quiet American, C'est Chic, a weanling filly by Mo Mon, and Full Coverage, a four-year old grandson of Ribot). The Group has authorised the sale of preferred shares in order to ensure that DARC has enough capital to get Moonshine Talk (displayed colt) to his debut race.
Moonshine Talk is a very talented colt that has been in training for 4 months. He is in training at Ocala West Training Facility (Ocala, FL) and his debut race will be on April 2008 or first week of May of 2008. Moonshine Talk recently breezed :49 for 4f from the gate and galloped out 6f in 1:13 in only his second breeze. The bottom side of his pedigree is arguably the best in Europe, having produced 2006 Champion racemare Pride and 2006 Guineas winner Speciosa and 1979 Epsom Derby second Touching Wood. In 2006, Specifically, a broodmare with the same pedigree (on the bottom side) sold for US$3.8 million at the Tattersalls auction in Ireland.
The Group's investment model is based on a corporate model (which is more risk-diverse than the industry's syndication model), in which ownership of a share in DARC, for instance, entitles an investor to indirect ownership of all assets owned by DARC. Each common share in DARC is worth US$2,500, and each preference share will be worth US$25,000 and will pay a semi-annual dividend of 12% on the invested amount.
